Platform Definition and Nature of Service

Scope of Application and Acceptance of Terms

1. These Terms apply to all entities using the Platform.
2. Creating an account or using the Platform constitutes a binding acceptance of these Terms.
3. If a separate written agreement is executed with the Client, the provisions of such agreement shall prevail with respect to matters expressly regulated therein.

License and Use (SaaS License)

1. The Chefz grants the Client a limited, non-exclusive, non-transferable license to use the Platform for its internal business purposes only.
2. The Client may not resell, lease, sublicense, or commercially exploit the Platform outside the scope of the registered entity.

Accounts and User Management

1. Accounts are registered in the name of the entity.
2. The Client bears full responsibility for:
• Authorized users
• Assigning roles and permissions
• Any activity conducted through the account
3. The Platform shall rely on and enforce any action taken by an authorized user in accordance with the entity's configured permissions.

Description of Services

• Food and beverage ordering
• Hospitality and catering services
• Reservation management
• Gifts and benefits
• Grocery and office supplies
• Wallet management, reporting, and invoicing

The Client acknowledges that order fulfillment is performed by independent suppliers.

Suppliers and Platform Role

1. Suppliers operate independently from The Chefz.
2. The Chefz bears no responsibility for product quality, supplier performance, or any contractual breach by suppliers.
3. The role of The Chefz is limited to providing the Platform, managing technical workflows, and recording transactions.

Orders, Scheduling, and Cancellation

1. Orders may be placed as instant or scheduled orders.
2. Amendments and cancellations are subject to the order status and applicable policies.
3. Late cancellations or no-shows may result in financial charges.

Wallets and Payments

1. The Platform provides digital wallets for managing corporate spending.
2. The Client must use wallet balances in accordance with its internal policies.
3. Wallet balances are non-withdrawable and may not be transferred outside the Platform.
4. All transactions are electronically recorded.

Invoicing and Settlement

1. Invoices are issued electronically through the Platform.
2. The Client must settle all due amounts within the specified timelines.
3. Refunds and settlements are subject to order status and approved policies.

Availability and Technical Support

1. The Chefz endeavors to provide continuous service without guaranteeing uninterrupted or error-free operation.
2. The service may be temporarily suspended for maintenance or updates.
3. Technical support is available through:
• The Platform
• The designated support email
4. Temporary service interruptions shall not constitute a contractual breach.

Prohibited Use

1. Using the Platform for any unlawful or non-compliant purpose
2. Attempting to breach security or gain unauthorized access to systems or data
3. Misusing services or circumventing ordering or payment mechanisms
4. Uploading or entering data or content that harms the Platform, suppliers, or third parties

The Chefz reserves the right to take appropriate action in case of violation.

Data and Data Protection

1. The Client retains ownership of its data entered into the Platform.
2. The Chefz may process data for the purpose of operating and improving the service.
3. Both parties shall comply with applicable data protection laws and regulations in the Kingdom of Saudi Arabia.

Disclaimer and Limitation of Liability

1. The Chefz shall not be liable for:
• Acts or omissions of suppliers
• Indirect damages or operational losses
2. Any liability of The Chefz, if applicable, shall be limited to the maximum extent permitted by law.

Suspension and Termination

1. The Chefz may suspend or terminate access in cases of misuse or violation of these Terms or applicable laws.
2. Termination shall not affect any prior financial obligations.

Intellectual Property

Amendments

1. These Terms may be updated from time to time.
2. Updates shall be effective as of their publication on the Platform.
3. Continued use of the Platform constitutes acceptance of the amendments.
